Information on the essential terms of the supply contract, as well as information on the quality and safety of the goods supplied by JSC "Group of Companies" Russian Milk"

On the basis of Federal Law No. 381-FZ of December 28, 2009, "On the Basics of State Regulation of Trade Activities in the Russian Federation", the JSC "Group of Companies" Russian Milk" (hereinafter referred to as JSC" GC "ROSMOL") informs the following:

1. JSC "GC" ROSMOL" concludes supply contracts with free production capacity for the release of goods with any person engaged in business activities and registered in the manner prescribed by law, not discriminating against Buyers, namely:
1.1. The buyer is not in the process of liquidation / bankruptcy.
1.2. The Buyer's reputation must meet the following criteria (including, but not limited to):

• Absence of facts of non-fulfillment or improper performance by the Buyer of its obligations;
• Buyer's solvency;
• Absence of facts of violation by the Buyer of provisions of the current legislation of the Russian Federation; lack of information on the enforcement proceedings against the Buyer;
• Absence of information about repeated violations on the part of the Buyer of contracts for the supply of goods concluded with other partners of the Buyer.

2. The supply contract can be concluded both in the form of JSC "GC" ROSMOL", and in the form agreed by the Parties.
2.1. Essential terms of the supply contract:
2.1.1. Essential conditions of the supply contract are the item (name of the goods) and the quantity of the goods (Articles 455, 465 of the Civil Code of the Russian Federation).
2.1.2. The subject of the supply contract is the products sold by JSC "GC" ROSMOL".
2.1.3. The quantity of the delivered goods is determined on the basis of the bids submitted by the Buyer under the concluded Agreement.
2.1.4. The terms and procedure for payment for the delivered Goods shall be agreed by the parties in the Supply Agreement. Terms of payment for the delivered Goods should not exceed the payment terms established by the federal law "On the fundamentals of state regulation of trading activities".
3. The supply contract is considered concluded after the parties reach an agreement on all the essential terms of the contract offered by each of the parties entering into the contract. The achievement of the agreement of the parties is formalized in the form of a delivery signed by the authorized representatives of the parties to the Supply Agreement.
4. As the parties act with mutual will, taking into account mutually beneficial cooperation, the parties have the right to supplement, change the list of essential conditions of the concluded / concluded agreement, with the obligatory consent of the other party to the transaction.
5. The procedure for selecting Buyers includes:

• The Buyer sends a commercial offer to JSC "GC" ROSMOL";
• Consideration of JSC "GC" ROSMOL" commercial offer;
• The direction of JSC "GC" ROSMOL" to the Buyer notice of acceptance or rejection of the commercial offer;
• Providing the Buyer with duly certified copies of documents;
• Discussion and agreement of the terms of the Supply Agreement with the Buyer;
• Signing of the Delivery Agreement.

To conclude a supply contract, the Buyer shall provide copies of documents to JSC "GC" ROSMOL" in accordance with Appendix No. 1 (including, but not limited to) these Terms.
